1. Introduction 

Welcome to Javelin. These Terms of Service (“Terms”) govern your access to and use of the Javelin website (the “Site”) and the services, features, and platform offered by Javelin Software Ltd (“Javelin”, “we”, “us”, or “our”). By accessing or using our Site and services, you agree to be bound by these Terms.

2. The Javelin Service 

Javelin provides a proprietary software-as-a-service platform (the “Service”) designed to help pension scheme trustees and stakeholders manage defined benefit schemes. The Service includes access to data dashboards, modelling tools, document management, and other functionalities as described on our Site.

3. Eligibility and Account Registration 

To use our Service, you must be authorised to act on behalf of a pension scheme or related entity. When you register for an account, you agree to provide accurate, current, and complete information. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

4. Use of the Site and Service 

You are granted a limited, non-exclusive, non-transferable license to access and use the Site and Service for your internal business purposes, in accordance with the terms of your specific license agreement with Javelin.

You agree not to:

·       Use the Service for any illegal purpose or in violation of any applicable laws.

·       Reverse-engineer, decompile, or attempt to extract the source code of the platform.

·       Resell, sublicense, or otherwise make the Service available to any third party.

·       Upload any data that infringes on the intellectual property rights of others or contains viruses or malicious code.

5. Fees and Payment 

Access to the Javelin Service is provided on an annual licensing basis. The specific fees, payment terms, and scope of your license will be detailed in a separate License Agreement between your organisation and Javelin.

6. Intellectual Property

·       Our Intellectual Property: All content on the Site, and the technology, software, and intellectual property powering the Service, are the exclusive property of Javelin and its licensors.

·       Your Data: You (or your organisation) retain all ownership rights to the data you upload to the Service (“Scheme Data”). You grant us a worldwide, non-exclusive, royalty-free license to use, process, and transmit your Scheme Data as necessary to provide and improve the Service.

7. Confidentiality 

Both parties agree to treat all non-public information received from the other party as confidential and not to disclose it to any third party, except as required to perform their obligations under these Terms or as required by law.

8. Disclaimers and Limitation of Liability 

The Site and Service are provided “as is” and “as available” without any warranties of any kind, either express or implied. To the maximum extent permitted by law, Javelin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use of the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the total amount of fees you paid to us in the twelve (12) months prior to the event giving rise to the liability.

9. Termination 

We may suspend or terminate your access to the Service at any time, with or without cause, including for a breach of these Terms. Upon termination, your right to use the Service will immediately cease.

10. Governing Law 

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. The courts of England and Wales will have exclusive jurisdiction to adjudicate any dispute arising under or in connection with these Terms.

11. Changes to Terms 

We reserve the right to modify these Terms at any time. If we make material changes, we will provide you with notice through the Service or by email. Your continued use of the Site or Service after such changes constitutes your acceptance of the new Terms.
